These Terms of Service ("Terms") govern your access to and use of Pricely, the quote and invoice software available at pricely.me (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. Who we are
Pricely ("Pricely," "we," "us") provides an online workspace for creating quotes, invoices, and related client documents. Legal and billing inquiries: support@pricely.me.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. The Service is intended for business and professional use. If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
3. Accounts
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must provide accurate registration information and keep it up to date.
- We may suspend or terminate accounts that violate these Terms or pose a security risk.
4. The Service
Pricely allows you to create and send quotes and invoices, collect client acceptance or e-signatures, convert quotes to invoices, manage clients, and (on paid plans) accept card payments through Stripe Connect and bank-transfer instructions. Features vary by plan. We may add, change, or remove features with reasonable notice where practicable.
5. Plans, pricing, and billing
Current list prices (USD) as of June 14, 2026:
- Free — $0. Up to 3 quotes per calendar month and up to 3 clients.
- Pro — $19/month or $190/year (billed annually).
- Team — $49/month or $490/year; up to 5 team members.
- Business — $99/month or $990/year; up to 25 team members.
- Enterprise — $199/month or $1,990/year; contact us for custom needs.
Paid subscriptions are processed by Stripe, Inc. By subscribing, you also agree to Stripe's applicable terms. Subscriptions renew automatically until canceled. You may cancel anytime from Settings; cancellation stops future charges but does not automatically refund the current period unless a refund applies under Section 6.
We may change prices with at least 30 days' notice before your next renewal. Continued use after a price change constitutes acceptance of the new price for subsequent billing periods.
6. Refunds
If you are not satisfied with a paid subscription, contact support@pricely.me within 30 days of your first charge on that paid plan and we will issue a full refund of that initial payment. Refunds do not apply to renewals after the first 30 days, partial months after cancellation, or fees charged by Stripe or your bank. Free plans are not billed.
7. Your content and client data
You retain ownership of quotes, invoices, client information, and other content you upload or create ("User Content"). You grant us a limited license to host, process, transmit, and display User Content solely to operate and improve the Service.
You are solely responsible for:
- The accuracy and legality of quotes, invoices, tax lines, and payment terms you send to clients.
- Obtaining any consents required to store and email client personal data.
- Compliance with tax, invoicing, and consumer-protection laws in your jurisdiction.
Pricely does not provide legal, tax, or accounting advice. Templates and tools are for convenience only.
8. E-signatures and client acceptance
When clients accept quotes or sign through Pricely, we record acceptance metadata (such as timestamp and, where available, IP address) for your records. Whether an electronic acceptance satisfies legal signature requirements in your jurisdiction depends on your local laws and the nature of the transaction. You are responsible for determining if Pricely's acceptance flow is appropriate for your use case.
9. Acceptable use
You may not use the Service to:
- Violate any law or infringe others' rights.
- Send spam, phishing, or fraudulent invoices or payment requests.
- Upload malware or attempt to breach our systems.
- Resell or sublicense the Service without written permission.
- Reverse engineer the Service except where permitted by law.
10. Third-party services
The Service integrates with third parties including Google Firebase (hosting and database), Stripe (subscriptions and optional client card payments), Resend (transactional email), Google Analytics (usage analytics), Groq (optional AI quote assistance), and Sentry (error monitoring). Your use of those services may be subject to their terms. We are not responsible for third-party outages or acts.
11. Intellectual property
Pricely's software, branding, and documentation are owned by us or our licensors. These Terms do not grant you any right to our trademarks or source code except as needed to use the Service.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICELY AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless Pricely from claims arising out of your User Content, your use of the Service, or your violation of these Terms or applicable law.
15. Termination
You may stop using the Service and delete your workspace at any time. We may suspend or terminate access for breach of these Terms or for operational reasons with notice where reasonable. Upon termination, your right to use the Service ends. Sections that by nature should survive (including payment obligations, disclaimers, liability limits, and indemnity) will survive.
16. Changes
We may update these Terms. We will post the revised version at https://pricely.me/terms/ and update the effective date. Material changes will be communicated by email or in-app notice when practicable. Continued use after changes become effective constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the United States, without regard to conflict-of-law rules. Except where prohibited by consumer protection laws in your country of residence, disputes will be brought in state or federal courts located in the United States, and you consent to their jurisdiction.
